Corporate Governance

Good corporate governance at GIAL is assured through an elaborate system of structures, policies and procedures. GIAL is governed by a board that meets monthly. Additionally, the board has sub-committees that indirectly direct activities of the various functional departments. The company also has a system of procedures established by management that guide the various functions and support them in the achievement of the corporate goals.

The Board is led by the Chairman and the executive management of the Company is led by the Chief Executive Officer.

Functions of the Board include:

• Provision of business direction via well thought-out controls enabling timely assessment and management of risks
• Setting the strategic aim and providing all necessary support to ensure that the Companys goals are met
• Review the performance of the Company
• Setting the values and standards of the Company
• Delegating some aspects of its functions to committees
• Delivering on its obligations to its shareholders
